This Digital Photography License Agreement is made between:

• Licensor: JD Photography, (hereafter referred to as "Licensor"), and
• Licensee: The individual or entity purchasing the digital photograph(s) (hereafter referred to as "Licensee").

By purchasing, downloading, or using the digital photograph(s) from JD Photography, the Licensee agrees to the terms and conditions of this Agreement. If the Licensee does not agree to the terms herein, the Licensee must refrain from downloading or using the Photograph(s).

1. Grant of License

1.1 License Type:
The Licensor grants the Licensee a [non-exclusive, non-transferable] license to use the purchased Photograph(s) under the terms specified in this Agreement.

1.2 License Scope:
This license allows the Licensee to use the Photograph(s) for [personal use], in accordance with the permitted uses specified in this Agreement.

2. Permitted Uses

2.1 Personal Use:
The Licensee may use the Photograph(s) for personal purposes, including but not limited to:

• Printing for personal display (e.g., home décor).
• Use in personal websites or blogs.
• Use in social media posts (for non-commercial purposes).

3. Restrictions

3.1 Prohibited Uses:
The Licensee is prohibited from using the Photograph(s) for the following:

• Reselling, redistributing, or sublicensing the Photograph(s) in their original form.
• Use in any unlawful, defamatory, discriminatory, or offensive manner.
• Modifying the Photograph(s) in a way that could mislead or distort the meaning or message of the original image, unless specifically authorized by the Licensor.
• Using the Photograph(s) in any product, service, or offering that is intended for resale, such as merchandise, print-on-demand products, or templates.
  
• Advertising, marketing, and promotional materials (print or digital).
• Websites, e-commerce platforms, or online advertisements.
• Editorial use (e.g., newspapers, magazines, books).
• Product packaging and merchandise.
• Business presentations and corporate collateral.

3.2 No Ownership Rights:
This Agreement does not transfer ownership of the Photograph(s) to the Licensee. The Licensor retains all rights, title, and interest in the Photograph(s), including any copyright, trademarks, or intellectual property rights associated with the image.

4. Copyright and Attribution

4.1 Ownership of Copyright:
The Licensor retains all copyrights and intellectual property rights in the Photograph(s). The Licensee does not acquire any ownership rights through this license.

4.2 Attribution (if required):
If the license type requires attribution (e.g., for certain free or lower-tier licenses), the Licensee must provide credit to the Licensor as specified, such as:

• "Photo by JD Photography" or similar acknowledgment in a manner that is clear, visible, and consistent with the platform’s requirements.

5. Modifications

5.1 Prohibited Modifications:
The Licensee is not permitted to alter the Photograph(s) in ways that could distort or damage the integrity of the image, modifications to the Photograph(s), including cropping, resizing, and color adjustments, to fit their intended use, unless specifically authorized by the Licensor.

6. Duration and Termination

6.1 Term:
This license is effective upon payment and delivery of the Photograph(s) to the Licensee and remains in effect indefinitely, subject to the termination provisions outlined in this Agreement.

6.2 Termination by Licensor:
The Licensor may terminate this Agreement in the event that the Licensee violates any of the terms herein. Upon termination, the Licensee must immediately cease using the Photograph(s) and delete any copies.

6.3 Survival:
Certain provisions of this Agreement, including but not limited to ownership rights, restrictions on use, and liability limitations, shall survive termination.

7. No Exclusivity

The license granted to the Licensee is non-exclusive, meaning that the Licensor retains the right to license the same Photograph(s) to other parties without limitation.

8. Indemnity

The Licensee agrees to indemnify and hold harmless the Licensor, its agents, employees, and affiliates from any claims, damages, liabilities, or expenses arising out of the Licensee's use of the Photograph(s), including but not limited to claims of infringement of third-party rights, defamation, or violation of applicable laws.

9. No Warranty

9.1 As-Is Basis:
The Photograph(s) are provided "as-is," and the Licensor makes no warranties, express or implied, regarding the quality, fitness for a particular purpose, or accuracy of the Photograph(s).

9.2 Limitation of Liability:
The Licensor's liability is limited to the amount paid by the Licensee for the Photograph(s). The Licensor shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the Photograph(s).

10. Miscellaneous

10.1 Entire Agreement:
This Agreement constitutes the entire understanding between the parties and supersedes any prior or contemporaneous communications or agreements, whether oral or written, related to the subject matter hereof.

10.2 Amendments:
The Licensor reserves the right to modify or amend this Agreement at any time, with notice to the Licensee. The continued use of the Photograph(s) after such amendments constitutes acceptance of the new terms.

10.3 Severability:
If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
